# Contract with GreenField Holdings for Markellm
**Effective Date:** November 15, 2023
**Contract Duration:** 12 months
## Terms
1. **Parties to the Agreement**: This contract is entered into between Insurellm, hereafter referred to as "Provider," and GreenField Holdings, hereafter referred to as "Client."
2. **Scope of Services**: Provider agrees to grant the Client access to the Markellm platform, enabling GreenField Holdings to connect with potential insurance customers through the AI-powered marketplace.
3. **Compliance**: Both parties agree to adhere to applicable laws and regulations that govern information security and consumer data protection.
## Renewal
1. **Automatic Renewal**: This contract will automatically renew for sequential one-year terms unless either party provides a written notice of non-renewal at least 30 days prior to the expiration of the current term.
2. **Annual Review**: Upon renewal, both parties may review and negotiate the terms, including any modifications to pricing based on performance metrics outlined in Section 4.

## Support
1. **Customer Support Access**: The Client will have access to dedicated support through phone and email during normal business hours to address any inquiries or technical issues.
2. **Training and Resources**: Provider will offer onboarding training resources to ensure GreenField Holdings can effectively utilize the Markellm platform.
3. **Performance Reviews**: Quarterly performance reviews will be conducted to analyze platform effectiveness, customer acquisition rates, and marketing strategies, ensuring both parties are aligned on objectives.
## Pricing
- **Basic Listing Fee**: GreenField Holdings agrees to pay a monthly fee of $199 for a featured listing on the Markellm platform.
- **Performance-Based Pricing**: An additional fee of $25 per acquired customer lead will be charged, reflecting successful connections made through the Markellm platform.
